Terms of Service

These Terms of Service ("Terms") govern your access to and use of CRHQ, an AI agent platform operated by Zero Point Studio d.o.o., Rudeška cesta 179, 10000 Zagreb, Croatia (OIB: 52438945902, VAT: HR52438945902) ("CRHQ", "we", "us", "our").

By creating an account or using CRHQ, you agree to these Terms. If you are using CRHQ on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

1. The Service

CRHQ provides a platform for deploying and managing autonomous AI agents on dedicated server environments called "satellites." Each satellite is an isolated virtual private server where your agents execute tasks using skills, recipes, and instructions you configure.

CRHQ operates on a Bring Your Own Key (BYOK) model — you provide your own AI model API keys (e.g., Anthropic, OpenAI). We do not provide AI model access; we provide the infrastructure, orchestration, and tooling that enables your agents to work autonomously.

You may connect third-party services to your satellite (including Google Workspace, analytics platforms, and other APIs) to enable your agents to act on your behalf within those services.

2. Account and Access

You must create an account to use CRHQ. You are responsible for maintaining the confidentiality of your account credentials, API keys, and any credentials stored on your satellite. You are responsible for all activity that occurs under your account.

You must be at least 18 years old to use CRHQ. You must provide accurate and complete information when creating your account.

3. Your Data and Content

You retain all ownership rights to your data, content, files, agent outputs, and any intellectual property created by or through your use of CRHQ. We do not claim ownership of anything your agents produce.

Your data is stored on your dedicated satellite. We do not access, review, or use your content except: (a) as necessary to provide the service, (b) to respond to support requests you initiate, or (c) as required by law.

You are responsible for ensuring that your use of CRHQ, including the tasks you configure your agents to perform, complies with applicable laws and the terms of any third-party services your agents interact with.

4. Third-Party Services and Integrations

CRHQ allows you to connect third-party services (such as Google Calendar, Gmail, Google Docs, Google Sheets, Google Slides, Google Analytics, Google Ads, Google AdSense, and others) so that your AI agents can interact with those services on your behalf.

When you connect a third-party service, you authorize CRHQ to access and use that service's data solely to execute the agent tasks you have configured. You are responsible for reviewing and complying with the terms of service of each third-party service you connect.

We are not responsible for the availability, accuracy, or policies of third-party services. You may disconnect any third-party service at any time from your CRHQ dashboard.

5. Acceptable Use

You agree not to use CRHQ to:

• Violate any applicable law, regulation, or third-party rights.
• Send spam, phishing messages, or unsolicited communications.
• Distribute malware, viruses, or other harmful code.
• Attempt to gain unauthorized access to other users' satellites or data.
• Engage in cryptocurrency mining or other resource-abuse activities.
• Scrape, harvest, or collect data from third-party services in violation of their terms.
• Generate content that is illegal, harmful, or violates the acceptable use policies of the AI model providers you use.

We reserve the right to suspend or terminate your account if we determine, at our sole discretion, that your use violates these Terms or poses a risk to the platform or other users.

6. Billing and Payment

CRHQ satellites are available in the following tiers:

Each satellite operates as an individual subscription. When you activate a satellite, a new subscription is created and you are charged immediately for the prorated remainder of the current billing cycle. On each subsequent monthly renewal date, the subscription is charged in advance for the upcoming month.

If you destroy a satellite, the associated subscription is cancelled and you receive a prorated refund for the remaining unused days in the current billing period.

If you have multiple satellites, each runs as a separate subscription with its own billing cycle based on its activation date.

Promotional and organizational discount codes may be applied. When a discount is active, it applies to all satellite subscriptions under the organization for the duration specified by the discount terms.

AI model costs (e.g., Anthropic, OpenAI API usage) are billed directly by the respective providers and are not included in the CRHQ satellite fee.

All fees are exclusive of applicable taxes (including VAT), which you are responsible for paying.

Payments are processed by Stripe, Inc. By subscribing, you authorize us to charge your stored payment method on each billing cycle. If a payment fails, Stripe will retry the charge over a 7-day grace period. If payment remains unsuccessful, your satellites may be suspended until the outstanding balance is resolved.

7. Satellite Infrastructure

Each satellite is a dedicated virtual private server provisioned for your exclusive use. You receive full use of the allocated server resources (CPU, RAM, storage) as determined by the server type selected during provisioning.

We manage the underlying infrastructure, operating system updates, SSL certificates, and platform software. You are responsible for the content, configurations, skills, and agent behavior on your satellite.

8. Service Availability

We strive to maintain high availability of the CRHQ platform and your satellites. However, we do not guarantee uninterrupted or error-free service. Scheduled maintenance, infrastructure issues, or force majeure events may result in temporary unavailability.

We will make reasonable efforts to notify you of planned downtime in advance.

9. Cancellation and Termination

You may cancel your subscription at any time from your CRHQ dashboard. Upon cancellation, your satellite will remain active until the end of your current billing period.

After cancellation, your satellite and all associated data will be permanently deleted within 30 days. We recommend exporting any data you wish to retain before cancellation.

We may terminate your account immediately if you violate these Terms. In such cases, we are not obligated to provide a refund.

10. Limitation of Liability

CRHQ is provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

We are not liable for any actions taken by AI agents on your behalf, including but not limited to: content generated, emails sent, data modified, or third-party service interactions. You are responsible for reviewing, configuring, and supervising your agents' behavior.

To the maximum extent permitted by law, our total liability for any claims arising from or related to these Terms or your use of CRHQ shall not exceed the amount you paid us in the 12 months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless Zero Point Studio d.o.o., its officers, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from: (a) your use of CRHQ, (b) actions performed by your AI agents, (c) your violation of these Terms, or (d) your violation of any third-party rights.

12. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes via email or by posting a notice on the platform. Continued use of CRHQ after changes take effect constitutes acceptance of the updated Terms. If you do not agree, you may cancel your account.

13. Governing Law

These Terms are governed by the laws of the Republic of Croatia. Any disputes shall be resolved by the competent courts in Zagreb, Croatia.
